AdWash Terms of Service

These Terms of Service (the "Terms") form a binding agreement between you (the "Customer", "you", or "your") and Yelu Marketing ("Yelu Marketing", "we", "us", or "our"), the operator of the AdWash platform available at adwash.ai (the "Service"). By accessing or using the Service, creating an account, or clicking "I agree" you accept these Terms. If you do not agree, do not use the Service.

AdWash is a software platform that automates the management of paid advertising campaigns on Google Ads for home service businesses (including, without limitation, HVAC, plumbing, electrical, and roofing contractors). The Service includes weather-triggered campaign automation, self-learning bid optimization, customer relationship management (CRM) integrations, return-on-investment (ROI) tracking, and related tooling.

You must be at least 18 years of age and authorized to enter into this agreement on behalf of the entity you represent. You agree to provide accurate, current, and complete information when creating your account, and to keep that information up to date.

You are responsible for safeguarding your account credentials and for all activity that occurs under your account. Notify us immediately at security@adwash.ai of any suspected unauthorized use.

Free Demo. Certain features of the Service are available at no charge for evaluation purposes. The Free Demo tier is provided "as-is" and may be modified or withdrawn at any time.

Membership. The Membership tier costs USD $500.00 per agency seat per month and is billed monthly in advance, beginning on the date you successfully subscribe. Subscriptions renew automatically each month at the then-current rate unless cancelled by you prior to renewal. All fees are non-refundable except where required by law. We may change our pricing on at least thirty (30) days prior notice; continued use after the change constitutes acceptance of the new pricing.

Ad spend is separate. The Service fee does not include the amount you spend on Google Ads placements. You remain solely responsible for paying Google for any advertising costs incurred through your linked Google Ads account.

By linking your Google Ads account to Yelu Marketing's Manager Account ("MCC") through the Service, you expressly authorize Yelu Marketing to access, view, modify, create, pause, and delete campaigns, ad groups, keywords, ads, budgets, bids, audiences, conversion settings, and other configuration within your Google Ads account, in each case for the purpose of operating the Service on your behalf.

You retain full ownership of your Google Ads account, your account data, and any campaigns we create or modify on your behalf. You may revoke our access at any time directly from Google Ads (Tools & Settings → Setup → Linked accounts), which will terminate the Manager Link without further notice to us; we are not responsible for the consequences of revocation, including loss of automated campaign management.

You are responsible for the accuracy of the Customer ID you provide. Sending a Manager Link request to a Customer ID you do not own or are not authorized to manage is a breach of these Terms and of Google's policies.

You agree not to: (a) use the Service to violate any law or regulation, including consumer protection, advertising, anti-spam (e.g. CAN-SPAM, CASL), and privacy laws; (b) advertise products or services prohibited by Google Ads policies; (c) reverse engineer, decompile, or attempt to derive source code from the Service; (d) interfere with or disrupt the Service, including by uploading malware or sending spam through the Service; (e) resell, sublicense, or otherwise commercially exploit the Service without our prior written consent.

You retain all rights in the data you provide to the Service, including campaign content, customer information, business metadata, and CRM records (collectively, "Customer Content"). You grant Yelu Marketing a worldwide, non-exclusive, royalty-free license to host, copy, transmit, and process Customer Content solely as necessary to provide the Service to you.

We may use de-identified, aggregated metrics derived from Customer Content (e.g. average ROAS by industry vertical) for the purposes of improving the Service and for benchmarking, provided that no such metrics identify you, your end customers, or your campaigns.

Our collection and use of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference.

The Service interoperates with third-party platforms including Google Ads, ServiceTitan, Jobber, HouseCall Pro, and the National Weather Service. Your use of those third-party services is governed by their own terms and policies, and we are not responsible for their availability, accuracy, or behavior.

The Service, including its software, design, branding, trademarks, and documentation, is owned by Yelu Marketing and is protected by intellectual property laws. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Service for your internal business purposes for the duration of your subscription.

These Terms remain in effect while you have an account. You may cancel your subscription at any time from the Service settings; cancellation takes effect at the end of the current billing period.

We may suspend or terminate your access immediately if you breach these Terms, fail to pay fees when due, or use the Service in a manner that exposes us to legal liability or material reputational risk.

Upon termination, your right to use the Service ends, automation stops, and your data may be deleted thirty (30) days after the termination date, except where retention is required by law. You may export your data prior to termination using the Service's export tooling.

The Service is provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not guarantee any specific business outcomes, return on ad spend, or volume of leads or jobs.

To the maximum extent permitted by law, Yelu Marketing's aggregate liability arising out of or relating to these Terms or the Service will not exceed the greater of (a) the fees you paid to us in the twelve (12) months immediately preceding the event giving rise to liability, or (b) USD $500. We will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, even if advised of the possibility of such damages.

You agree to defend, indemnify, and hold harmless Yelu Marketing, its officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from (a) your use of the Service, (b) your Customer Content, (c) your violation of these Terms, or (d) your violation of any third-party right, including any intellectual property right, privacy right, or advertising regulation.

We may update these Terms from time to time. If we make material changes, we will notify you by email or through the Service at least fifteen (15) days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.

These Terms are governed by the laws applicable to Yelu Marketing's principal place of business, without regard to conflict-of-laws principles. Any dispute arising out of or relating to these Terms will be resolved exclusively in the courts of competent jurisdiction at that location, and you consent to the personal jurisdiction of those courts.
